State registration of the legal entity

The state registration of legal entities is the certification by the state registration body of the fact of establishing, reorganizing, liquidating, suspending or resuming the activity of legal entities, their subsidiaries and representations, as well as the fact of amendment of incorporation documents of legal entities, registration of data in the State Register, which results in the acquisition or termination of the legal capacity of legal entities, acquisition by individuals of the status of individual entrepreneur or termination of such status.

All legal formalities, as well as consultations on legal formalities regarding the establishment and registration of a legal entity and an individual entrepreneur, verification of the legal entity's name, preparation of incorporation documents, state registration, publication of the information in the Electronic Newsletter, as well as obtaining the information necessary for registration through electronic networks from public authorities, without involving the registration applicant, and submission of information from the State Register of legal entities and from the State Register of individual entrepreneurs to public authorities, for purposes of tax, statistical, medical and social registration, are carried out, in line with the state one-stop shop principle, by the state registration body -

I. Timeframe of the state registration

The state registration of legal entities and their branches, and of individual entrepreneurs, is done during working days, within 24 hours, calculated from the working day immediately following the day of submission of documents required for registration. The state registration of legal entities, their subsidiaries and representations, upon the request of the applicant, can be done as a matter of urgency within 4 hours.

III. Documents required for state registration

a) Applicants for state registration of a legal entity shall submit the following documents:

1. application for registration (.docx, .pdf), as per the model approved by the state registration body;

2. decision on incorporation and documents of incorporation of the legal entity, according to the legal form of organization, in two copies;

3. opinion of the National Commission of Financial Market – for insurance companies, non-state pension funds, savings and loan associations and, in cases stipulated by the law, non-bank lending organizations;

4. document confirming the payment of the registration fee.

b) Applicants for state registration of legal entities with foreign investments shall submit the following documents:

1. extract from the register in which the legal entity with foreign investments is registered, translated and legalized by the notary;

2. documents of incorporation of the foreign legal entity.

Note: All the documents shall be submitted as originals or copies certified by notaries and legalized by the consular offices of the Republic of Moldova abroad and shall be translated into the state language.

Foreign public documents drawn up in States parties to the Convention Abolishing the Requirement of Legalisation for Foreign Public Documents, signed of 5 October 1961 in The Hague, to which the Republic of Moldova is a party, on which the Apostille is affixed under this Convention shall be accepted upon registration without additional legalization. This provision also applies to extracts and copies of these documents.

The exception are documents issued by the authorities of the CIS member countries, Romania, Lithuania, Latvia, Czech Republic, Slovakia, Azerbaijan, Turkey, Hungary, with which the Republic of Moldova concluded relevant treaties, under which the respective public documents are recognized in the Republic of Moldova without an Apostille or additional legalization.

The documents for state registration are drafted in the state language and are submitted to the state registration body by the founder or his/her representative, authorized by a certified power of attorney under the law.

c) Applicants for state registration of individual entrepreneurs shall submit the following documents:

1. application for registration (.docx, .pdf), as per the model approved by the state registration body;

2. document confirming the payment of the registration fee.

After verifying and ascertaining the compliance with legal requirements for data and documents relating to the name of the legal entity, founders (individuals or legal entities), administrators, registered address, etc., the state registration body shall perform the state registration and shall submit to the administrator or the authorized person, the following documents, if applicable:

a) decision of the state registration body;

b) documents of incorporation;

c) extract from the State Register;

d) stamp.

Upon registration, the legal entity is assigned a state identification number (IDNO), which certifies that the respective entity was registered in the State Register. The identification number is also used as the Taxpayer's Identification Number of the registered legal entity.

During the state registration procedure, the state registration body shall carry out the process of tax, statistical, medical and social registration (record keeping) of the legal entity by sending to relevant authorities the data regarding its registration in electronic format.

The legal entity shall be deemed registered on the day of the adoption of the registration decision.
